RoverHealth

Terms & Conditions

Last updated: August 25, 2026

These terms govern your use of RoverHealth. Please read them carefully — they include an arbitration provision and a limitation of liability that affect your legal rights.

1. Agreement to these terms

These Terms & Conditions (the "Terms") govern your access to and use of the websites, applications, and services operated by RoverHealth Inc. ("RoverHealth," "we," "us"). By creating an account, accessing the platform, or accepting a shift through it, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the platform. If you are using the platform on behalf of a healthcare facility or other organization, you represent that you are authorized to bind that organization to these Terms.

2. What RoverHealth is — and is not

RoverHealth operates a marketplace that connects licensed physicians with healthcare facilities seeking clinical coverage. We provide the technology that surfaces available shifts, verifies credentials, and facilitates engagement between the two sides.

RoverHealth is not a healthcare provider, does not practice medicine, and does not direct or control the clinical judgment of any physician using the platform. We are not a party to the engagement between a physician and a facility except as expressly stated in these Terms or a separate written agreement.

Nothing on the platform constitutes medical, legal, tax, or financial advice.

3. Eligibility

To register as a physician user, you must hold an active, unrestricted license to practice medicine in the jurisdiction where you intend to work, and you must be legally authorized to work in the United States.

To register as a facility user, you must be an authorized representative of a licensed healthcare facility or practice.

You must be at least 18 years old to use the platform.

4. Accounts and registration

You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it.

Access to your account is granted through email-based sign-in links. You are responsible for maintaining control of the email address associated with your account, and you agree to notify us promptly of any unauthorized use.

5. Physician representations

If you register as a physician, you represent and warrant on an ongoing basis that:

  • Your medical license is active, unrestricted, and in good standing in each jurisdiction where you accept work.
  • You have disclosed any past or pending disciplinary action, license restriction, malpractice claim, or exclusion from a federal healthcare program.
  • All credentialing materials you submit, including your curriculum vitae, are truthful, accurate, and your own.
  • You will maintain the continuing education, board certification, and other qualifications required for the roles you accept.
  • You will notify RoverHealth promptly if any of the above ceases to be true.

6. Facility responsibilities

Facilities are responsible for describing shifts accurately, including location, scope of practice, expected duties, patient volume, and rate. Facilities remain solely responsible for their own licensure, accreditation, staffing decisions, supervision obligations, and compliance with applicable law.

Facilities are responsible for providing a safe working environment and for maintaining the equipment, systems, and support staff necessary for the clinical work described.

7. Shifts and independent contractor status

Unless a separate written agreement states otherwise, physicians engaging through the platform do so as independent contractors, not as employees of RoverHealth or, where applicable, of the facility.

Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and RoverHealth. Physicians retain sole professional responsibility and independent clinical judgment for all care they provide.

Accepting a shift creates a commitment. Cancellation policies, no-show consequences, and any applicable rescheduling terms will be presented at the time of acceptance and form part of these Terms with respect to that engagement.

8. Rates and payment

The rate for each shift is displayed before you accept it. By accepting, you agree to that rate for that engagement.

RoverHealth facilitates payment for completed shifts by direct deposit according to the payment timeline published on the platform at the time of acceptance. Payment is contingent on the shift being completed and confirmed, and on your having provided complete and accurate payment and tax information.

You are responsible for your own taxes, including self-employment taxes, and for any withholding obligations arising from your independent contractor status. RoverHealth will issue tax documentation as required by law.

We may withhold or reverse payment in cases of fraud, material misrepresentation, or a shift that was not performed as represented.

9. Malpractice coverage

Where RoverHealth states that professional liability coverage is provided for a given shift, that coverage is subject in all respects to the terms, conditions, limits, exclusions, and eligibility requirements of the applicable policy. The policy document governs.

Coverage described on the platform is not a substitute for your own review. You are responsible for confirming that the scope and limits of any coverage are adequate for the work you accept, and for maintaining any additional coverage you determine you need.

Coverage may be void where a physician has made a material misrepresentation about licensure, credentials, or claims history.

10. Prohibited conduct

You agree not to:

  • Misrepresent your identity, licensure, credentials, or professional history.
  • Circumvent the platform to avoid fees, where fees apply, after being introduced through it.
  • Use the platform to solicit users for unrelated commercial purposes.
  • Scrape, harvest, reverse engineer, or attempt to gain unauthorized access to the platform or its data.
  • Upload malicious code, or content that infringes the rights of others.
  • Use the platform in violation of any applicable healthcare, employment, privacy, or anti-kickback law.

11. Content you provide

You retain ownership of the materials you submit, including your curriculum vitae and credentialing documents. You grant RoverHealth a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and share those materials with facilities and credentialing partners for the purpose of operating the platform and presenting you for opportunities.

This license ends when you delete the material or close your account, except to the extent we must retain records to comply with law or resolve disputes.

12. Intellectual property

The platform, including its software, design, text, graphics, and trademarks, is owned by RoverHealth and protected by intellectual property law. These Terms grant you a limited, revocable, non-transferable license to use the platform for its intended purpose. No other rights are granted.

13. Third-party services

The platform relies on third-party providers for hosting, data storage, email delivery, and payment processing. Your use of the platform may be subject to those providers' terms. We are not responsible for the acts or omissions of third parties, or for content on any third-party site we link to.

14. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the platform will be uninterrupted or error-free, that any particular shift or physician will be available, that any engagement will result from your use of the platform, or that information provided by another user is accurate. Facilities and physicians are responsible for their own due diligence.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROVERHEALTH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID OR PAYABLE BY OR TO YOU THROUGH THE PLATFORM IN THE SIX MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

RoverHealth is not liable for the clinical acts or omissions of any physician, or for the conduct, safety, or solvency of any facility. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless RoverHealth and its officers, directors, employees, and agents from any claim, liability, damage, loss, or expense, including reasonable legal fees, arising out of your use of the platform, your breach of these Terms, your violation of law, or, for physicians, the professional services you provide.

17. Dispute resolution

We encourage you to contact us first so we can try to resolve any dispute informally.

Any dispute arising out of or relating to these Terms or the platform that cannot be resolved informally will be settled by binding arbitration administered under the rules of a recognized arbitration provider, on an individual basis. You and RoverHealth waive the right to a jury trial and to participate in a class action.

This section does not prevent either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

18. Termination

You may close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, misrepresent your credentials, or create risk or legal exposure for RoverHealth, other users, or patients.

Sections that by their nature should survive termination — including payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

19. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles, except where the Federal Arbitration Act applies to the dispute resolution section.

20. Changes to these terms

We may update these Terms from time to time. If we make a material change, we will update the "Last updated" date above and, where appropriate, notify you by email or through the platform. Your continued use after a change takes effect constitutes acceptance of the revised Terms.
